By accessing or using PinPoint Snap ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you may not access or use the Service.

PinPoint Snap is a platform designed for field teams, sign-placement crews, and on-site inspectors who need GPS-verified photographic proof of work completion. The Service includes:

• Geo-tagged photo capture and storage with immutable GPS coordinates
• Real-time map dashboards, route history, and heatmap visualization
• Team management tools for assigning agents and tracking job completion
• QR code generation and offline-capable mobile data capture
• Session organization, tagging, and export capabilities
• Analytics and reporting on sign placement performance and location effectiveness

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

You must create an account to access most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Provide accurate, current, and complete information during registration
• Update your account information to keep it accurate and complete
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years of age or have parental consent if under 18

We reserve the right to suspend or terminate accounts with inaccurate or incomplete information, or accounts that remain inactive for an extended period.

PinPoint Snap allows businesses to invite field agents and crew members as users under their account. As an account owner or admin:

• You are responsible for the actions of all users associated with your account
• You must ensure agents have appropriate permissions and understand their obligations
• You may revoke access to any agent at any time through the dashboard
• Agents may apply to become independent contractors through our "Become an Agent" program, subject to separate verification

Agents using the mobile app consent to the collection of GPS coordinates at the time of photo capture. This is an essential feature of the Service and cannot be disabled for compliance purposes.

PinPoint Snap captures and stores GPS coordinates as an integral part of the Service. By uploading photos through the Service, you:

• Grant us permission to extract, store, and display GPS metadata from uploaded photos
• Understand that location data is tied to photo sessions and displayed on maps
• Acknowledge that this data is used to verify sign placement, route completion, and field coverage
• Agree that location data accuracy depends on your device's GPS hardware and conditions

We do not guarantee the accuracy of GPS coordinates and are not liable for disputes arising from location data discrepancies, including but not limited to disputes about whether a sign was placed at a claimed location.

You retain ownership of all photos, images, and content you upload to the Service. By uploading content, you grant PinPoint Snap a limited, non-exclusive, royalty-free license to:

• Store, display, and process your content solely to provide the Service to you
• Generate thumbnails, previews, and map markers from your photos
• Export or share content according to your explicit instructions through the dashboard

This license terminates when you delete the content or your account, except where we are required to retain data by law or for legitimate business purposes (such as billing records).

PinPoint Snap offers subscription plans as described on our Pricing page. By subscribing:

• You agree to pay all applicable fees for your selected plan
• All fees are billed in advance and are non-refundable unless required by law
• Subscription fees are processed through Stripe, our third-party payment processor
• We offer a 14-day free trial on every plan; you will not be charged until the trial ends
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to change pricing with 30 days' advance notice

You agree not to use the Service to:

• Upload false, misleading, or fabricated location data or photographs
• Capture or store photos of individuals without their consent where required by law
• Use the Service for any unlawful purpose or to violate any applicable regulations
• Harass, abuse, or threaten other users or third parties
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service's operation or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload malicious software, viruses, or harmful code
• Scrape, crawl, or spider any data from the Service without authorization
• Use the Service to build a competing product or service

We reserve the right to suspend or terminate your account, with or without notice, if:

• You violate these Terms or any applicable law
• You engage in fraudulent, abusive, or harmful activity
• Your payment method fails and is not updated within a reasonable grace period
• Your account remains inactive for an extended period (typically 12 months or more)

Upon termination, your right to use the Service immediately ceases. We may retain certain data as required by law or for legitimate business purposes. You may delete your account at any time through the settings page.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PinPoint Snap is not liable for:

• Loss of data, photos, or session records
• Inaccurate or incomplete GPS coordinates
• Disputes regarding the authenticity of submitted photos or location data
• Service interruptions, delays, or errors caused by third-party services
• Indirect, incidental, special, or consequential damages arising from your use of the Service

In no event shall our total liability exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless PinPoint Snap and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Content you upload or transmit through the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or intellectual property rights

We may update these Terms at any time. Material changes will be communicated via email or through an in-app notification. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
